- +If appointed, the Secretary shall support the Chair / Co-chairs in maintaining a high standard for
- +Board conduct management. The Secretary, when in attendance, shall be the Secretary of all Meetings
- +of Members, the Board, and committees of the Board and, whether or not the Secretary attends, the
- +Secretary shall enter or cause to be entered in the Funds’ minute book, minutes of all proceedings
- +at such meetings; the Secretary shall give, or cause to be given, as and when instructed, notices to
- +members, Directors, the auditor and members of committees; the Secretary shall be the custodian of
- +the corporate seal as well as all books, papers, records, documents and other instruments belonging
- +to the Fund. Any functions and duties of the Secretary may be delegated by the Board to the
- +Executive Director of the Fund. This position shall not be remunerated for their services, provided
- +that for the purposes of this section, they are entitled to have reimbursed any cost incurred by
- +them in performance of their duties and to receive an annual honorarium as determined by the Board
- +and provided for in the budget.
